It is not legal advice. Have Canadian counsel review and finalize it before production use. If these Companion Terms conflict with a signed contractor agreement, the signed agreement controls once counsel has issued it. 1. Role and platform relationship You provide platonic phone companionship to seniors (and other Recipients) through StayNear Canada's matching and coordination platform. You are an independent contractor, not an employee, partner, joint venturer, nurse, therapist, counsellor, or emergency service. Nothing in these Terms creates employment, benefits eligibility, or an agency relationship beyond what is needed to deliver calls under platform rules. StayNear operates the Service used by families (account holders). Your work supports social calls only. See also the public Terms of Use at /terms for how families are told the Service works. 2. Eligibility You must be legally able to work as an independent contractor in Canada, pass StayNear vetting (including identity and any screening we require), and only offer languages you are approved for after our voice/human review process. 3. Conduct and scope of calls - Calls are platonic social companionship, not dating, romance, sexual content, or personal relationship-building outside platform boundaries. - You must not give medical, legal, or financial advice. - Stay within social conversation and any platform scripts or playbooks for boundaries and escalation. - Do not solicit money, gifts, investments, or personal favours from families or Recipients. - Do not pressure Recipients to share stories for keepsakes; story-sharing is welcome when natural, never forced. 4. Non-clinical / no emergency monitoring StayNear is not clinical care and not emergency monitoring. You are not a crisis line, PERS device, or continuous monitor. If you believe someone is in immediate danger, tell them to contact local emergency services (for example 911) and follow the safeguarding playbook (notify platform / family contacts as directed). Health or situation context shared by families is for awareness and sensitivity only, not clinical assessment. 5. Pay Compensation is per completed call (or other rate card we publish) under platform rules and payout schedules, in CAD unless we state otherwise. Incomplete, fraudulent, or policy-violating calls may not be paid. Tax reporting and contractor obligations are yours unless Canadian law or a written agreement says otherwise. Counsel should confirm invoice/tax wording for production. 6. Technology and contact rules Use the platform's masked phone bridge when available. Do not give Recipients or families your personal phone number, email, or social handles to bypass StayNear, and do not ask them for personal contacts to move the relationship off-platform, except where a written StayNear process expressly allows a limited exception. 7. Availability and matching You set shifts, capacity, and engagement preferences. StayNear matches within approved languages and your windows. Pausing new bookings is allowed through the companion tools we provide. Continuity with a preferred family is a goal, not a guarantee of exclusive assignment. 8. Privacy, notes, and Stories to keep - Protect personal information of seniors and families. Do not share recordings, notes, or identities outside the platform. - Follow PIPEDA-aware platform instructions and the Privacy Policy at /privacy. - Do not post about clients on social media or elsewhere. - Operational notes belong in platform tools only. - If a family opts into Stories to keep, write keepsakes with care, accuracy, and respect. Do not invent stories. Do not pressure Recipients for material. Write only what was shared. Finished keepsake delivery and family use rights are governed by the public Terms of Use and platform instructions (ownership sketch pending counsel sign-off). - Recording is off by default. If ever enabled, dual consent (and any other required consent) is mandatory before recording. 9. Acceptable use and platform integrity You must not misuse the Service, harass anyone, discriminate unlawfully, falsify availability or call completion, or interfere with vetting, matching, or payments. We may pause or end access for policy breaches or safety concerns. 10. Communications (CASL) If you consent to emails or other commercial electronic messages about applications, shifts, or platform updates, we may contact you in line with CASL. You may withdraw consent for commercial messages as the law allows. We may still send necessary operational messages about your contractor engagement. 11. Limitation of liability To the extent permitted by law, StayNear is not liable for indirect or consequential losses arising from matching gaps, missed calls, or platform downtime. Nothing here excludes liability that Canadian law does not allow us to exclude. Your liability to StayNear for proven breaches (for example privacy misuse or payment fraud) may include reasonably foreseeable losses; final indemnity language requires counsel review before production. 12. Governing law These Companion Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, aligned with the public Terms of Use, unless a signed contractor agreement specifies otherwise after counsel review. 13. Changes and re-acceptance We may update these Terms. Continued use after a new version requires re-acceptance on your companion profile (or another clear acceptance flow we provide). 14.
